Mergers: Commission clears acquisition of CeramTec by CPP Investments and BC Partners

The European Commission has approved, under the EU Merger Regulation, the acquisition of joint control of CeramTec Topco GmbH (‘CeramTec’) of Germany by Canada Pension Plan Investment
(‘CPP Investments’) of Canada and BC Partners LLP (‘BC Partners’) of the UK. CeramTec manufactures high-performance advanced ceramic materials and products for medical and
industrial applications.

CPP Investments invests the funds transferred to it by the Canada Pension Plan in public and private equities, real estate, infrastructure and fixed income instruments at global level. BC Partners
is an international private equity firm with investments in financial services, healthcare, education, the consumer and the retail sectors, mainly in Europe and North America.

The Commission concluded that the proposed acquisition would raise no competition concerns, given that the companies are not active in the same or related markets. The transaction was examined
under the simplified merger review procedure.
