The European Commission has approved, under the EU Merger Regulation, the acquisition of indirect joint control of JSS Holdco LLC (‘JSSI’) by Genstar Capital Partners LLC (‘Genstar Capital’) and
GTCR LLC, all of the US. JSSI is active in the provision of maintenance programs for aircraft engines, airframes and auxiliary power units globally. It also offers aircraft parts for sale or lease
and certain software solutions and provides advisory services. Genstar Capital is a private equity firm investing worldwide in various middle market companies in sectors such as financial services,
healthcare, industrial technology and software industries. Genstar Capital controls Procure Analytics, a software-centric group purchasing organization mainly active in Canada, Mexico and the US.
GTCR is a private equity investment firm, mainly active in the industries of financial services, healthcare, technology, media, telecommunications and business services. The Commission concluded
that the proposed acquisition would raise no competition concerns, given its very limited impact on the market. The transaction was examined under the simplified merger review procedure. More
information is available on the Commission’s competition website, in the public
case register under the case
number M.10914.
