Mergers: Commission clears acquisition of MedRisk by CVC and Carlyle

Brussels, 6th May 2021 – The European Commission has approved, under the EU Merger Regulation, the acquisition of MedRisk Holdco, LLC (‘MedRisk’) of the U.S. by CVC Capital Partners
SICAV-FIS S.A. (‘CVC’) of Luxembourg and The Carlyle Group, Inc. (‘Carlyle’) of the U.S. MedRisk supplies managed physical therapy for the workers’ compensation industry and related market
sectors in the U.S. CVC manages investment funds holding interests in various industries primarily in Europe, the U.S. and the Asia-Pacific region. Carlyle is a global alternative asset manager
of funds active across different investment disciplines.
The Commission concluded that the proposed acquisition would raise no competition concerns, because there are no horizontal overlaps or vertical relationships between the business activities of
MedRisk and those of CVC and Carlyle within the European Economic Area. The transaction was examined under the simplified merger review procedure.
