The European Commission has approved, under the EU Merger Regulation, the acquisition of joint control of Agilio Software Topco Limited (‘Agilio’) by Five Arrows Managers LLP (‘Five Arrows’), both of the UK, and TA Associates Cayman, LLC (‘TA Associates’) of the Cayman Islands.
The transaction relates primarily to the development of software for the healthcare sector.
The Commission concluded that the notified transaction would not raise competition concerns, given that Agilio has negligible activities in the European Economic Area, as well as the companies’ limited market positions resulting from the proposed transaction. The notified transaction was examined under the simplified merger review procedure.
