Mergers: Commission clears acquisition of joint control over Casinos Austria by SAZKA Group and ÖBAG

The European Commission has approved, under the EU Merger Regulation, the acquisition of joint control over Casinos Austria Aktiengesellschaft (‘CASAG’) of Austria by SAZKA Group a.s (‘SAZKA
Group’) of Czechia and Österreichische Beteiligungs Aktiengesellschaft (‘ÖBAG’) of Austria. CASAG is active in the gaming area in Austria through the operation of (i) casinos; (ii) lotteries; (iii)
Video Lottery Terminals; (iv) sports betting; and (v) online gaming. It also operates casinos in several countries. SAZKA Group is the parent company of a European lottery group and provides gaming
consulting services. Its subsidiaries provide services including lottery, gaming and betting in Czechia, Cyprus, Greece, and Italy. ÖBAG is an autonomous state-owned holding company, which
administers state investments and is mainly active in (i) active participation management, (ii) acquisition of share rights in existing investments and in third companies, (iii) measures to promote
the development of Austria as an economic location, (iv) external participation management and (v) privatisation management. The Commission concluded that the proposed acquisition would raise no
competition concerns, because of its limited impact on the market. The transaction was examined under the simplified merger review procedure.
