The European Commission has approved, under the EU Merger Regulation, the creation of a joint venture between Warner Bros. Home Entertainment Inc. (“Warner Bros”), controlled by AT&T
Inc., and Universal City Studios Productions LLLP (“Universal”), controlled by Comcast Corporation (“Comcast”), all of the US. The joint venture will be active in the manufacturing and distribution
of physical home entertainment content (such as DVDs, Blu-ray and 4K UHD discs) in the US and Canada.
Warner Bros and Universal are both active, in particular, in the production, distribution and licensing of TV programs and films. AT&T and Comcast are both active in the supply of
telecommunications and entertainment services. The Commission concluded that the proposed transaction would raise no competition concerns, as the joint venture has no actual and foreseen activities
within the European Economic Area.
