Mergers: Commission clears acquisition of Netinera Deutschland by Trenitalia

The European Commission has approved, under the EU Merger Regulation, the acquisition of sole control over Netinera Deutschland GmbH (‘Netinera’) of Germany by Trenitalia S.p.A (‘Trenitalia’) of Italy. Netinera operates regional rail and bus passenger services mainly in Germany and, to a lesser extent, in the Czech Republic, on the basis of public service contracts awarded mainly by the German Public Transport Authorities (PTAs). Netinera is currently jointly controlled by Trenitalia and Cube Transport Sarl, an investment fund incorporated in Luxembourg specialised in infrastructure and public services. Trenitalia is active in local, long distance and international rail passenger transport and related services in Italy and other European countries, mainly France, Greece and UK. It is wholly owned by Ferrovie dello Stato Italiane S.p.A. which is itself 100% owned by the Italian Ministry of Economy and Finance. The Commission concluded that the proposed acquisition would raise no competition concerns, because of its limited impact on the market. The transaction was examined under the simplified merger review procedure.
